1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of the MyConsent platform and related services (the “Service”).

The Service is provided by Trifork A/S (“Trifork”, “we”, “us”, “our”).

By creating an account for a company, accessing the Service, or using the Service on behalf of an organization, you agree to these Terms.

3. The Service

MyConsent is a software-as-a-service platform that enables organizations to manage media assets, organize assets into folders and projects, tag people in assets, send and manage consent requests, document consent decisions, and maintain related records and workflow history.

The Service may also include account administration, invitations, team management, file storage, media processing, semantic search functionality, and related support features.

4. Business Use

MyConsent is intended primarily for business and organizational use. Where an individual accesses the Service through an organization, that individual acts either on their own behalf as a respondent to a consent request or on behalf of the relevant organization, depending on the context.

If you create or use a company account, you represent that you are authorized to bind the relevant organization to these Terms.

5. Accounts and Roles

The Service may support different types of accounts and roles, including administrators, editors, regular users, invited users, and system-level administrative roles.

You are responsible for:

  • Providing accurate and up-to-date account information
  • Maintaining the confidentiality of login credentials
  • Restricting access to authorized persons only
  • Ensuring that each user role is used appropriately and in accordance with the permissions assigned to it

You must notify us without undue delay if you become aware of unauthorized access or misuse of the Service.

6. Subscription, Pricing, and Billing

MyConsent is a paid subscription service.

Pricing may include:

  • A base subscription tier
  • Usage-based add-ons, including additional storage, additional users, or other usage-based features
  • Custom enterprise plans offered by separate commercial agreement

Unless otherwise agreed in writing, subscriptions are billed on a monthly billing cycle.

You agree to pay all applicable fees, charges, and taxes associated with your selected plan and actual usage. Usage-based add-ons may be billed based on measured use during the relevant billing period.

If payment is overdue, we may suspend access to the Service after reasonable notice.

7. Changes to Pricing and Plans

We may update pricing, packaging, or plan features from time to time. Material changes affecting your subscription will be communicated in advance and will apply from a future billing cycle unless otherwise agreed.

8. Customer Responsibilities

You are responsible for your use of the Service and for all content, files, user data, and instructions submitted through your organization’s account.

This includes responsibility for:

  • Ensuring that you have the rights and permissions necessary to upload, store, organize, and use media assets
  • Ensuring that you have a lawful basis for processing personal data through the Service
  • Ensuring that invitations, tagged-user workflows, and consent requests are used lawfully and appropriately
  • Maintaining internal control over which users may access your organization’s workspace and data
  • Reviewing and managing records, projects, folders, and team access on an ongoing basis

You must not use the Service to store or process unlawful, infringing, harmful, or abusive content.

9. Acceptable Use

You agree not to:

  • Use the Service in violation of applicable law or the rights of others
  • Attempt to gain unauthorized access to the Service, other customer environments, or related systems
  • Interfere with, disrupt, overload, or degrade the performance or security of the Service
  • Reverse engineer, decompile, copy, scrape, or attempt to extract source code or trade secrets from the Service, except where such restriction is prohibited by law
  • Use the Service to send spam, abusive communications, or unauthorized bulk requests

10. Data Protection

Our handling of personal data in connection with the Service is described in the Privacy Policy.

Where Trifork acts as a processor on behalf of a customer organization, data processing terms may also be governed by a separate data processing agreement, including standard contractual clauses where relevant.

11. Availability, Maintenance, and Changes to the Service

We may update, improve, modify, or maintain the Service from time to time, including by adding, changing, or removing features.

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation at all times.

We may temporarily suspend access for maintenance, security reasons, emergency response, non-payment, or legal compliance.

12. Intellectual Property Rights

Trifork and its licensors retain all rights, title, and interest in and to the Service, including all software, trademarks, designs, workflows, documentation, and related intellectual property rights.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the subscription term.

You retain your rights in the content and data you or your organization submit to the Service, subject to the rights necessary for us to host, process, transmit, secure, and support the Service.

13. Confidentiality

Each party must treat non-public business, technical, and commercial information received from the other party as confidential and use it only as necessary to perform under these Terms, unless disclosure is required by law.

14. Term and Termination

These Terms remain in effect for as long as you or your organization use the Service.

Unless otherwise agreed in writing, subscriptions renew on a monthly basis.

Either party may terminate the subscription effective at the end of the current billing month by discontinuing the subscription or giving notice through the applicable account or support channel.

We may suspend or terminate access immediately if:

  • You materially breach these Terms
  • You misuse the Service
  • Payment remains overdue after notice
  • We are required to do so by law, court order, or regulatory requirement

Upon termination, your right to use the Service ends. We may delete or anonymize data in accordance with our retention practices, legal obligations, and any applicable customer agreement.

15. Warranties and Disclaimers

The Service is provided on an “as available” basis. To the maximum extent permitted by law, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or suitable for every specific use case, nor that customer data or uploaded media will be free from inaccuracies caused by user input, third-party systems, or customer-controlled configurations.

16. Limitation of Liability

To the maximum extent permitted by law:

  • Trifork shall not be liable for any indirect, incidental, special, punitive, or consequential losses, including loss of profit, loss of revenue, loss of goodwill, loss of business opportunity, or loss arising from business interruption
  • Trifork’s total aggregate liability arising out of or in connection with the Service or these Terms shall not exceed the total fees paid by the customer for the Service during the 12 months immediately preceding the event giving rise to the claim

Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or other non-excludable liability.

17. Indemnity

You agree to indemnify and hold harmless Trifork from claims, losses, damages, liabilities, and costs arising from your unlawful use of the Service, your breach of these Terms, or your infringement of third-party rights through content or activities submitted through your account.

18. Governing Law and Venue

These Terms are governed by Danish law, without regard to conflict of law rules.

Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Danish courts.

19. Changes to These Terms

We may update these Terms from time to time. The latest version will be made available through the Service. Material changes will take effect from the date stated in the updated version or from a later communicated effective date.
